Terms and conditions

Terms governing the purchase and use of the Nexelia platform as a service (SaaS).
1. Purpose
These terms govern the purchase and use of Nexelia (the “Service”), a SaaS platform that lets academies, companies and creators (the “Customer”) build and run their own online training platform — with their website, courses, students and payments — on a Nexelia subdomain or their own domain.
The Service is provided by Madalin George Lingurar, a sole trader with tax ID (NIF) X7976831V and address at Calle Voleibol 4, Bajo-C, 04131 Retamar, Almería (Spain) (“Nexelia”). By completing the sign-up process, the Customer accepts these terms.
2. Sign-up and account
Using the Service requires completing the sign-up process and creating an administration account. The Customer warrants that the information provided is accurate and undertakes to keep it up to date.
The Customer is responsible for safeguarding their credentials and for all activity carried out from their accounts, including those of team members, and must promptly report any unauthorised access. The Service is aimed at professionals and businesses; anyone accepting these terms on behalf of an organisation represents that they have sufficient authority to do so.
3. Plans, prices and billing
- The Service is contracted through a one-off setup fee plus a recurring subscription, annual or monthly, depending on the chosen plan.
- The applicable prices are those published on the pricing page at the time of purchase, plus any applicable taxes.
- The subscription renews automatically at the end of each period unless cancelled beforehand.
- Cancellation may be requested at any time and takes effect at the end of the current period; no pro-rated refunds are given for periods already started, unless a mandatory rule provides otherwise.
- Nexelia may update prices with reasonable notice; the new price applies from the next renewal.
4. Launch promotion
If a launch promotion is active at the time of sign-up (for example, the first month free, with nothing charged at sign-up and the setup fee and subscription charged when the trial period ends), its conditions will be stated on the pricing page and during checkout. The Customer may cancel before the trial period ends at no cost.
Promotions cannot be combined, may be changed or withdrawn at any time for new sign-ups, and do not affect periods already contracted.
5. Course payments between the academy and its students
The platform lets the Customer sell courses to their students using the Customer's own Stripe account. In those sales, the Customer is the sole seller: they set prices, issue invoices, answer for the quality of the content and comply with the applicable tax and consumer obligations, including refunds.
Nexelia is not a party to the transaction between the academy and its students, does not receive the funds, charges no commission on those sales, and assumes no liability arising from them.
6. Customer content
The Customer retains all rights to the content hosted on their platform (courses, videos, documents, texts and images). The Customer grants Nexelia a limited, non-exclusive, worldwide licence to host, reproduce and deliver that content for the sole purpose of providing the Service.
The Customer warrants that they hold the necessary rights to the content they publish and that it does not infringe third-party rights or applicable law. With respect to their students' personal data, the Customer acts as data controller and Nexelia as data processor, as described in the Privacy Policy.
7. Acceptable use
The following is prohibited:
- Using the Service for unlawful activities or to publish illegal or defamatory content or content that infringes third-party rights.
- Attempting to breach the security of the Service, access other academies' data or interfere with its operation.
- Introducing malicious software or engaging in abusive automated use (mass data scraping, deliberate overload).
- Reselling or sublicensing the Service, except under an express agreement with Nexelia (for example, the partner agency program).
Breach may lead to suspension or termination of the Service under the cancellation and effects clause.
8. Service availability
The Service is provided “as is” and “as available”. Nexelia uses reasonable efforts to maintain high availability and performs maintenance seeking to minimise impact, but does not guarantee uninterrupted or error-free operation, nor any specific service level (SLA) unless expressly agreed in writing.
9. Limitation of liability
To the extent permitted by law, Nexelia shall not be liable for indirect damages, loss of profit, loss of business or loss of data not attributable to its own breach. Nexelia's total aggregate liability towards the Customer shall be limited to the amounts paid by the Customer for the Service during the twelve months preceding the event giving rise to the claim.
Nothing in the foregoing excludes or limits any liability that cannot be excluded or limited under applicable law.
10. Cancellation and effects
The Customer may cancel at any time; cancellation takes effect at the end of the contracted period. Nexelia may suspend or terminate the Service in the event of non-payment or serious breach of these terms, with prior notice where reasonably possible.
After termination, the Customer will have a reasonable period (generally 30 days) to export their content and data. Once that period has elapsed, Nexelia will delete the data of the Customer's platform, except for data it must retain under a legal obligation.
11. Changes
Nexelia may amend these terms and evolve the Service (adding, changing or removing features) for technical, legal or product reasons. Substantial changes will be notified with reasonable notice; if the Customer does not accept them, they may cancel the subscription before the changes take effect, effective at the end of the current period.
12. Governing law and jurisdiction
These terms are governed by Spanish law. For any dispute, the parties submit to the courts of Almería (Spain), unless a different mandatory forum applies.
